1. Introduction
These Terms of Service ("Terms") are a legal agreement between you and RoboticForce, Inc., a corporation incorporated under the laws of the Province of Ontario, Canada, with its principal office in Kingston, Ontario ("RoboticForce", "we", "us", or "our"). These Terms govern your access to and use of the WorkSignal platform, including our website at worksignal.com, web application, APIs, and all related services (collectively, the "Service").

2. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
If you do not agree with any part of these Terms, you must not access or use the Service.
3. Description of Services
WorkSignal is an AI-powered recruiting platform designed to help hiring teams screen, evaluate, and manage candidates more efficiently. The Service includes, but is not limited to:
- AI Voice Phone Screening: Automated phone conversations with candidates using AI voice technology, including call recording and transcription.
- Resume Upload and AI Analysis: Automated parsing, analysis, and scoring of candidate resumes against role-specific criteria.
- AI Chat and Career Portal: Conversational AI interfaces for candidates to interact with job postings and submit applications.
- Candidate Scoring and Pipeline Management: AI-generated scores, rankings, and pipeline tools for managing candidates through the hiring process.
- Recruiting Analytics: Dashboards and reports providing insights into hiring funnel performance, source effectiveness, and return on investment.
- Automated Workflows: Configurable automations for email communications, candidate progression, and team notifications.
4. Account Registration and Eligibility
To use the Service, you must:
- Be at least 18 years of age.
- Provide accurate, current, and complete registration information.
- Maintain the security of your account credentials.
- Have the legal authority to bind your organization to these Terms, if registering on behalf of an organization.
- Promptly notify us of any unauthorized use of your account.
You are responsible for all activity that occurs under your account, whether or not you have authorized such activity. We reserve the right to suspend or terminate accounts that provide inaccurate information or violate these Terms.
5. AI-Powered Features Disclosure
WorkSignal uses artificial intelligence technologies to provide screening, scoring, analysis, and communication features. By using the Service, you acknowledge and agree to the following:
- Recommendations, not decisions: All AI-generated outputs, including candidate scores, rankings, summaries, and screening results, are recommendations only. They are not intended to serve as final hiring decisions.
- Human review recommended: We strongly recommend that all AI-generated assessments be reviewed by a qualified human before any hiring, rejection, or other employment decision is made.
- No guarantee of accuracy: While we strive for accuracy, AI outputs may contain errors, omissions, or biases. You are responsible for verifying the accuracy and appropriateness of all AI-generated content before relying on it.
- Continuous improvement: AI models and algorithms may be updated periodically to improve performance. This may result in changes to scoring methodologies or output formats.
6. Recruiter and Employer Obligations
As a recruiter or employer using the Service, you agree to:
- Lawful basis for processing: Ensure you have a lawful basis for collecting and processing candidate personal information through the Service, in accordance with applicable privacy legislation including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial laws.
- Candidate consent: Obtain appropriate consent from candidates before submitting their personal information to the Service, including consent for AI-powered screening, call recording, and data analysis.
- Non-discrimination: Use the Service in compliance with the Ontario Human Rights Code, the Canadian Human Rights Act, and all other applicable human rights and employment equity legislation. You must not use the Service to discriminate against candidates based on race, ancestry, place of origin, colour, ethnic origin, citizenship, creed, sex, sexual orientation, gender identity, gender expression, age, record of offences, marital status, family status, or disability.
- Accurate job information: Provide truthful and accurate information about positions, compensation, and working conditions.
- Data accuracy: Ensure that candidate data you upload or input into the Service is accurate and obtained through legitimate means.
7. Recording and Transcription
The Service includes features that record and transcribe voice conversations with candidates. By using these features, you acknowledge:
- One-party consent: Under Canadian federal law (Criminal Code, s. 184), telephone conversations may be recorded with the consent of one party to the conversation. The AI system, as your agent, constitutes a party to the conversation.
- PIPEDA disclosure: Under PIPEDA, you must inform candidates about the collection, use, and disclosure of their personal information at or before the time of collection. Candidates are informed at the beginning of each AI voice screening that the call is being recorded and transcribed.
- Provincial variations: Some provinces may have additional requirements. You are responsible for ensuring compliance with any additional local recording and privacy laws applicable to your jurisdiction.
- Data storage: Recordings and transcripts are stored securely and retained in accordance with our Privacy Policy.
8. Payment Terms
- Payment processing: All payments are processed securely through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's Terms of Service.
- Subscription billing: Paid plans are billed on a recurring monthly or annual basis, depending on the plan selected. Your subscription will automatically renew at the end of each billing period unless cancelled.
- Canadian taxes: For Canadian customers, applicable GST/HST will be added to all invoices in accordance with Canada Revenue Agency requirements. RoboticForce, Inc. is registered for GST/HST.
- Refunds: Subscription fees are generally non-refundable. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.
- Price changes: We may update pricing from time to time. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period.
- Failed payments: If payment fails, we may suspend access to the Service until the outstanding balance is resolved. We will make reasonable efforts to notify you before suspending access.
9. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Service.
- Use the Service to send unsolicited communications in violation of Canada's Anti-Spam Legislation (CASL) or any other applicable anti-spam laws.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any purpose other than recruiting and hiring activities.
- Scrape, data mine, or otherwise extract data from the Service by automated means without our prior written consent.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
10. Intellectual Property
Our intellectual property
The Service, including all software, algorithms, designs, text, graphics, logos, and trademarks (including the WorkSignal trademark), is owned by or licensed to RoboticForce, Inc. and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.
Your content
You retain all ownership rights to content you upload or submit to the Service, including resumes, job descriptions, candidate data, and other materials ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, worldwide licence to use, store, process, and display Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete Your Content or your account is closed, subject to reasonable backup and retention periods described in our Privacy Policy.
11. Third-Party Services
The Service integrates with or relies on various third-party services, including:
- Stripe: Payment processing and billing management.
- ATS integrations: Connections to applicant tracking systems such as Greenhouse, Lever, and Ashby for data synchronization.
- AI providers: Third-party AI model providers for natural language processing, voice synthesis, and analysis capabilities.
- Cloud hosting: Infrastructure providers for data storage and application hosting.
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, availability, or performance of third-party services.
12. Service Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- AI-generated scores, analyses, or recommendations will be accurate, complete, or free from bias.
- Use of the Service will result in successful hiring outcomes or improve your hiring metrics.
- The Service will meet your specific requirements or expectations.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROBOTICFORCE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING OUT OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless RoboticForce, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation, including employment, human rights, and privacy legislation.
- Any hiring decisions made using or based upon the Service.
- Your Content or any data you submit through the Service.
15. Term and Termination
These Terms remain in effect for as long as you have an active account or continue to use the Service.
- Termination by you: You may cancel your account at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period.
- Termination by us: We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay outstanding fees, or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties.
- Effect of termination: Upon termination, your right to access the Service ceases. We will retain your data in accordance with our Privacy Policy and applicable legal requirements. You may request a copy of your data prior to account termination.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kingston, Ontario, Canada.
17. CASL Compliance
Canada's Anti-Spam Legislation (CASL) applies to commercial electronic messages sent through the Service. You agree to:
- Obtain express or implied consent from recipients before sending commercial electronic messages through the Service.
- Include accurate sender identification and contact information in all messages.
- Provide a functional unsubscribe mechanism in all commercial messages.
- Process unsubscribe requests within 10 business days.
- Not use the Service to send messages that violate CASL or any other applicable anti-spam legislation.
18. Changes to Terms
We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. When we make material changes, we will:
- Provide at least 30 days' written notice via email to the address associated with your account.
- Post the updated Terms on our website with a revised "Last updated" date.
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and close your account.
